Meta Plans $95 Billion Capital Raise to Boost AI Infrastructure
The company aims to secure its future in the generative AI race through a multi-stage funding strategy.

Tech giant Meta is taking unprecedented steps to solidify its position in the artificial intelligence sector. The company has officially announced a plan to raise $95 billion through a large-scale share offering. The capital will be dedicated entirely to building and expanding AI infrastructure, which remains the company's primary strategic priority.
Financing Structure
Meta’s strategy is divided into several phases. In the first stage, the company will sell $22.5 billion worth of Class A common stock. An additional $12.5 billion will be raised through depositary shares, where each unit represents one-twentieth of a new preferred share. Notably, these preferred shares will automatically convert into common stock in August 2029, unless an alternative decision is reached beforehand.
The remaining $60 billion will be raised on the open market. This process, which involves the issuance of new Class C shares, is expected to begin in the first quarter of 2027. This move allows the company to secure significant financial resources without compromising its existing governance structure.
Maintaining Control and Strategic Partners
Meta’s current shareholder model is split into two categories: Class A shares, which carry one vote per share, and Class B shares, which carry ten votes per share. The majority of the latter are controlled by CEO Mark Zuckerberg. The new Class C shares, which will carry no voting rights, will allow Zuckerberg to maintain full control of the company while raising the necessary capital.
Major technology players, including Nvidia, AMD, and Broadcom, have already expressed interest in purchasing Meta shares. Their non-binding indications of interest could secure up to $5 billion in investment, highlighting the high level of confidence and strong partnerships within the AI industry.
What This Means
This investment is critical for Meta as it strives to catch up with and surpass competitors in the race to develop generative artificial intelligence. Expanding data centres and computing power requires immense capital, which this financial plan will fully provide.
For users, this means that Meta’s platforms, including Facebook and Instagram, will see significantly more sophisticated and intelligent features in the coming years. Such large-scale funding for AI technologies will ultimately influence social media interfaces, advertising, and content creation processes, setting new standards on the global market.
